Works in Progress definition

Works in Progress means all literary, dramatic, audio, visual and/or audiovisual works of any kind or character which the Company or any of its Subsidiaries Exploits or has the right to Exploit, and (A) which have been greenlighted or which are in current production or post-production and have not been abandoned, and (B) which are not complete and which, if completed, would otherwise constitute Library Pictures.
Works in Progress means components of any Business Product (which such Business Products and components are set forth on Schedule 1.1(f) of the Disclosure Letter) that Sellers reasonably believe will be available for sale within six (6) months after the date of this Agreement and which, as of the date of this Agreement, have not been cleared for use, sale and distribution. For purposes of this Agreement, a component of a Business Product shall cease to be a Work in Progress as defined herein (a) if and when such component is cleared for use, sale and distribution (whether before or after the Effective Time) or (b) if, after the Effective Time, the Purchaser or any of its Affiliates makes any changes in or to any such component.
Works in Progress means all audio, visual and/or audiovisual works of any kind or character in which (i) the NBCU Transferors or the NBCU Entities or (ii) the Comcast Transferors or the Contributed Comcast Subsidiaries, has rights, (A) for which principal photography has commenced on or prior to the date hereof, (B) which are in current production or post-production and have not been abandoned, and (C) which are not complete and which, if completed, would otherwise constitute Library Pictures. Notwithstanding the foregoing, “Works in Progress” shall only include those works for which the Intellectual Property contained therein would otherwise constitute NBCU Intellectual Property or Comcast Intellectual Property, as applicable.

More Definitions of Works in Progress
