Working Capital Term Loan definition

Working Capital Term Loan has the meaning specified in Section 2.01F.
Working Capital Term Loan means the "Term Loan" (as defined in the Working Capital Loan Agreement as in effect on the date hereof).
Working Capital Term Loan means any term loan made by the Lender upon conversion of a NAC Project Loan pursuant to Section 2.1.1(b) (or any continuation or conversion thereof pursuant to Section 2.9).

  • The Borrower shall have applied all amounts subject to the Availability Block (as defined in the Working Capital Loan Agreement), but in any event an amount of not less than $6,400,000, 50% to the outstanding principal amount of the Working Capital Term Loan and 50% to the outstanding principal amount of the Term Loan.

  • Notwithstanding the foregoing, neither the Borrower nor NAC shall be required to grant the Lender a mortgage lien on any NAC Project unless and until such time as the related NAC Project Loan is converted to a Working Capital Term Loan.

  • Working Capital Deficit means the amount, if any, by which the Closing Working Capital is less than the Target Working Capital.

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.

  • Working Capital Adjustment Amount has the meaning set forth in Section 2.1(b)(ii). Section 1.2

  • Working Capital means, with respect to the Borrower and the Subsidiaries on a consolidated basis at any date of determination, Current Assets at such date of determination minus Current Liabilities at such date of determination; provided, that, for purposes of calculating Excess Cash Flow, increases or decreases in Working Capital shall be calculated without regard to any changes in Current Assets or Current Liabilities as a result of (a) any reclassification in accordance with GAAP of assets or liabilities, as applicable, between current and noncurrent or (b) the effects of purchase accounting.

  • Working Capital Units shall have the meaning given in the Recitals hereto.

  • Net Working Capital Adjustment means (a) the amount by which Net Working Capital as of immediately prior to the Closing exceeds Target Net Working Capital or (b) the amount by which Net Working Capital as of immediately prior to the Closing is less than Target Net Working Capital, in each case, if applicable; provided, that any amount which is calculated pursuant to clause (b) above shall be deemed to be a negative number.

  • Working Capital Adjustment shall have the meaning set forth in Section 3.5(c)(i).
