Without limitation to the indemnification provisions contained herein, the Borrower hereby agrees that in the event any Draft accepted by the Agent pursuant to this Agreement does not, for any reason, comply at the time of its acceptance and discount with applicable regulations of the Board of Governors of the Federal Reserve System of the United States governing bankers acceptances and shall not be eligible under such regulations for purchase or discount by the Federal Reserve Bank, the Borrower shall, upon receipt of written notice from the Agent, forthwith pay to the Agent any additional reasonable costs incurred by the Agent (including, without limitation, a higher discount rate or any costs resulting from additional reserve requirements) in connection with such Draft on account of such noncompliance or ineligibility.
