Window Shop Period definition

Window Shop Period means the period beginning on the date of this Agreement and continuing until 11:59 p.m. (New York time) on the date that is thirty (30) days after the date of this Agreement; provided, that solely for purposes of determining the amount of the Company Termination Fee pursuant to Section 9.03(i) or the amount of the Parent Termination Fee pursuant to Section 9.03(j), as applicable, and solely in the case of a Company Excluded Party or Parent Excluded Party, as applicable, that first submits a Company Acquisition Proposal or Parent Acquisition Proposal, as applicable, to the Company or Parent, as applicable, on or following the twenty fifth (25th) day of such thirty (30) day period, then the “Window Shop Period” shall be extended until the date that is thirty five (35) days after the date of this Agreement.
Window Shop Period means the period beginning upon expiration of the Solicitation Period and ending upon Closing.
Window Shop Period means the twenty-five (25) calendar day period following the date the initial press release regarding the Merger is issued.

More Definitions of Window Shop Period

Window Shop Period is defined in Section 5.3(g)(iv).
Window Shop Period means the period of fifteen (15) days commencing on the day following the date of this Agreement and ending at 5:00 p.m. (New York City time) on such fifteenth (15th) day; provided that, if prior to the expiration of such fifteen (15)-day period the Company shall have received one or more Competing Proposals meeting the requirements of Section 6.5(c), then, only with respect to each such Competing Proposal, the Window Shop Period shall be extended until 5:00 p.m. (New York City time) on the earlier of (a) the twentieth (20th) day following the Company’s initial receipt of such Competing Proposal and (b) the thirtieth (30th) day following the date of the Agreement; provided, further, that if the Company shall have delivered a Notice of Superior Proposal in respect of any such Competing Proposal to Parent in compliance with Section 6.5(e) prior to the expiration of the Window Shop Period (including any applicable extensions thereof), then, only with respect to such Superior Proposal as modified, the Window Shop Period shall be further extended until 5:00 p.m. (New York City time) on the second (2nd) Business Day following the expiration of the most recent Match Right Period.

  • Ramp Period The Ramp Period shall begin on the Effective Date and continue for a period of 3 months following the Effective Date. Commencing with the Effective Date and at all times during the Ramp Period thereafter, Customer will receive the rates, discounts, charges and credits set forth herein and will not be subject to the AVC. Annual Volume Commitment (“AVC”): $360,000 in Total Service Charges (“AVC”) during each contract year of the Term (following the expiration of the Ramp Period).

  • Window Period means the 3 consecutive calendar month period prior to the Scheduled Maturity Date.

  • Ramp-Up Period means the period from and including the Effective Date to, but excluding, September 23, 2016.

  • Start-up Period means up to 7 Academy Financial Years and covers the period up to and including the first Academy Financial Year in which all age groups are present at the Academy (that is, all the pupil cohorts relevant to the age range of the Academy will have some pupils present).

  • Post-Change Period means the period of time commencing on the date of the first occurrence of a Change in Control and continuing until the second anniversary of the occurrence of such Change in Control.

  • Affiliation period means a period which, under the terms of the health insurance coverage offered

  • Clean-Up Period has the meaning specified in Section 8.02(b).

  • Acquisition Period means any period commencing on the date that a Material Acquisition is consummated through and including the last day of the second full fiscal quarter following the date on which such acquisition is consummated; provided that there shall be at least one full fiscal quarter between any two Acquisition Periods.

  • Retention Period has the meaning set forth in Section 6.02.

  • Lock-up Period means the period beginning on the date hereof and continuing through the close of trading on the date that is 90 days after the date of the Prospectus (as defined in the Underwriting Agreement).

  • Peak Period means the time between 6 a.m. and 10 p.m. (April through September) or between 7 a.m. and 11 p.m. (October through March) on all days except Saturdays and Sundays, which daily time period will be subject to change from time to time at the Company's option. This change would occur after no less than ten (10) days notice has been given to all Customers who would be affected, and to the Commission.

  • Potential Change in Control Period shall commence upon the occurrence of a Potential Change in Control and shall lapse upon the occurrence of a Change in Control or, if earlier (i) with respect to a Potential Change in Control occurring pursuant to Section 18.15(A), immediately upon the abandonment or termination of the applicable agreement, (ii) with respect to a Potential Change in Control occurring pursuant to Section 18.15(B), immediately upon a public announcement by the applicable party that such party has abandoned its intention to take or consider taking actions which if consummated would result in a Change in Control or (iii) with respect to a Potential Change in Control occurring pursuant to Section 18.15(C) or (D), upon the one year anniversary of the occurrence of a Potential Change in Control (or such earlier date as may be determined by the Board).

  • Change in Control Period means the period beginning three (3) months prior to a Change in Control and ending twelve (12) months following a Change in Control.

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.

  • Covered Period means the period beginning six (6) months prior to a Change in Control and ending twenty-four (24) months after the Change in Control.

  • Operation Period means the period commencing from COD and ending on the Transfer Date;

  • Anticipated Termination Date Any Distribution Date on which it is anticipated that the Trust Fund will be terminated pursuant to Section 9.01(c) of this Agreement.

  • Continuous Shift Work means work done by separate relays of employees where the hours of work are regularly rotated in accordance with a shift roster covering a 24 hour per day operation over a 7 day week.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Promotion Period means the period the Promotion is open, as specified in clause 5.1.

  • Stated Termination Date means December 31, 2000.

  • Off-Peak Period means the period during which the demand on an electric utility system is not at or near its maximum. For the purpose of this section, the off-peak period includes all hours that are not in the peak period.

  • Protection Period means the period commencing on the Change in Control Date and ending on the second anniversary thereof.

  • Post-Termination Period means a period of 12 months (subject to extension as set forth in Section 8(f)) following the effective date of the termination of Executive’s employment.

  • Rectification Period means the period of time set out in Section 4.3 of this RFP during which a Proponent will be permitted to rectify its Proposal to satisfy the mandatory submission requirements of this RFP.

  • Effective Termination Date has the meaning set forth in Section 10(b) hereof.
