WEPCO Letter definition

WEPCO Letter means that certain letter agreement between WEPCO and Contractor, dated as of the date hereof, containing a) WEPCO’s agreement to indemnify Contractor for pre-existing Hazardous Materials on the Project Site, b) a mutual waiver by WEPCO and Contractor of the right seek or collect consequential damages from the each other and c) WEPCO’s waiver of subrogation for damage to the Existing Units caused by Contractor, attached as Attachment 5.

  • Contractor bears the cost and risk of all conditions at the Project Site other than a) pre-existing Hazardous Materials that are covered by the WEPCO Letter, b) fossils and historical artifacts covered by Section 8.6 (Fossils and Historical Artifacts) below, c) subsurface conditions with respect to the intake tunnel discussed in Section 17.6 (Intake Tunnel), and d) subsurface conditions on the Project Site that could not have been reasonably foreseen through the exercise of prudent and diligent analysis.
