Purchaser is making its decision to consummate the purchase of the Notes described herein on the basis of its due diligence investigation of Webware and not on any representation, warranty, statement or information made or communicated (orally or in writing) by Seller or any affiliate, representative or agent thereof, other than as set forth in this Agreement.
