  • The Stockholder has experience as an investor in securities of companies like the Purchaser and acknowledges that the Stockholder is able to fend for itself, can bear the economic risk of such Stockholder’s investment in the WEBM Shares and has such knowledge and experience in financial or business matters that such Stockholder is capable of evaluating the merits and risks of this investment in the WEBM Shares and protecting its own interests in connection with this investment.

  • It is understood that the certificates evidencing the WEBM Shares will bear legends substantially as set forth below: THE SECURITIES REPRESENTED HEREBY HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE “SECURITIES ACT”), OR UNDER STATE SECURITIES LAWS.

  • The Stockholder has not and will not (i) prior to the date the Registration Statement is declared effective by the SEC, if then prohibited by law or regulation, sell, dispose of, or grant any right with respect to (collectively, a “Disposition”), its WEBM Shares, nor (ii) engage in any hedging or other transaction which is designed or could reasonably be expected to lead to or result in a Disposition by the Stockholder of its WEBM Shares prior to such date.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Acquired Shares has the meaning set forth in the Recitals.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.
