WCAS Shares definition

WCAS Shares means the shares of Common Stock received in exchange on the date hereof pursuant to the Contribution Agreement by the persons listed on Schedule I hereto under the heading "WCAS Stockholders."

Examples of WCAS Shares in a sentence

  • The restrictions set forth in this Article VI shall continue with respect to each Stockholder Share until the earlier to occur of (i) the Transfer of such Stockholder Share in an Approved Sale, (ii) the consummation of a Qualified Public Offering and (iii) a Sale of the Company; provided that the restrictions set forth in this Article VI shall terminate with respect to the WCAS Shares upon the occurrence of a Call/Put Default.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Restricted Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Company Shares means the common shares in the capital of the Company;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Stock Consideration has the meaning set forth in Section 2.01(c).

  • Sold Shares shall have the meaning specified in Section 6.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Other Shares means at any time those shares of Common Stock which do not constitute Primary Shares or Registrable Shares.
