Warrant Share Amount definition

Warrant Share Amount means such whole number (with any fractions rounded down) as is equal to the quotient of (a) the product of (i) the Initial Term Loan (as defined in the Loan and Security Agreement dated May 23, 2011 among General Electric Capital Corporation (“GECC”), the Lenders (as defined therein), and the Company (the “Loan Agreement”)) made pursuant to the terms of the Loan Agreement, multiplied by (ii) four percent (4%), multiplied by (iii) 0.5, divided by (b) the Warrant Price. The “Warrant Price” shall initially be $81.42 per share, subject to adjustment as provided in Section 7 below.

Warrant Share Amount means, at any time, the number of Warrant Shares into which this Warrant is exercisable at such time.

Warrant Share Amount shall have the meaning set forth in Section 2.6(a) hereof.

Examples of Warrant Share Amount in a sentence

• Upon the occurrence of each adjustment or readjustment of the Warrant Share Amount pursuant to this Section 8, the Corporation at its expense shall promptly compute such adjustment or readjustment in accordance with the terms hereof and furnish to the Holder a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based.

• Upon such delivery and payment, the Holder shall be deemed to be the holder of record of the number of Warrant Shares equal to the Warrant Share Amount (or, in the case of a partial exercise of this Warrant, a ratable number of such shares), notwithstanding that the stock transfer books of the Company shall then be closed or that certificates representing such shares shall not then be actually delivered to the Holder.

• Upon the occurrence of each adjustment or readjustment of the Warrant Share Amount pursuant to this Section 7, the Company at its expense shall promptly compute such adjustment or readjustment in accordance with the terms hereof and furnish to the Holder a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based.

• Upon the occurrence of each adjustment or readjustment of the Warrant Share Amount pursuant to this Section 8, the Company at its expense shall promptly compute such adjustment or readjustment in accordance with the terms hereof and furnish to the Holder a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based.

• The Company shall notify the Holder, in writing, no later than the Trading Day following the issuance or deemed issuance of any Common Stock or Common Stock Equivalents pursuant to a Dilutive Issuance, indicating therein the applicable Base Share Price and the resulting Warrant Share Amount.

Warrant Share Amount means [5,000,000 (Five Million)]*** shares of Common Stock as such number may be adjusted pursuant to Sections 7 and 9.

Warrant Share Amount means a number of shares of Common Stock determined subsequent to any Dilutive Issuance equal to the difference between (i) the quotient obtained by dividing the Holder’s applicable Subscription Amount by the Base Share Price in the lowest-priced such Dilutive Issuance, rounded down to the nearest share, minus (ii) the quotient obtained by dividing the Holder’s applicable Subscription Amount by the Effective Price, rounded down to the nearest whole share, minus (iii) the number of shares that have been issued upon exercise of this Warrant following any prior Dilutive Issuance. For the avoidance of doubt, on the Issue Date of this Warrant, the Warrant Share Amount shall equal zero; and if one Dilutive Issuance is followed by a subsequent Dilutive Issuance at higher Base Share Price than the prior Dilutive Issuance, the lower Base Share Price shall apply.

Warrant Share Amount means 23,000,000 (Twenty Three Million) shares of Common Stock as such number may be adjusted pursuant to Sections 7 and 8.

Warrant Share Amount means the product of (a) [_____] [INSERT PRO RATA SHARE OF WARRANT AS SET FORTH ON ANNEX 2 OF THE PURCHASE AGREEMENT], (b) 0.18 and (c) the difference between (1) the Fully Diluted Outstanding Common Stock divided by 0.868 minus (2) the Fully Diluted Outstanding Common Stock.

Warrant Share Amount means the number of shares equal to 15,000 times a fraction, of which the denominator is $1,000,000 and the numerator is the aggregate Purchase Price of Common Stock purchased at the Closings of all purchases of Common Stock by the Investor during the Commitment Period (rounded to the nearest $100,000 increment).

Warrant Share Amount means ten percent (10%) of the sum of the aggregate outstanding principal amount of the Notes held by the Holder.
