Warrant Deed definition

Warrant Deed means the warrant deed, in agreed form, granted by the Company to the Noteholders; and
Warrant Deed means that certain Warrant Deed relating to Mavenir Group Holdings Limited originally dated December 16, 2019, as amended and restated on February 5, 2020 and [•], 2020 (and as further amended, supplemented or otherwise modified from time to time).

  • Parent shall take such actions as are necessary to allow holders of Parent Warrants and New Parent Warrants to exercise the Parent Warrants and the New Parent Warrants at all times following the Closing Date on a cashless basis using the formula described in Section 3.3.1 of the Warrant Deed for the Parent Warrants.

  • The Warrant Agent hereby accepts the appointment as Warrant Agent as described in this Warrant Deed and agrees to perform the same upon the terms and conditions herein set forth and among other things, shall account promptly to the Company with respect to Warrants exercised and concurrently account for, and pay to the Company, all moneys received by the Warrant Agent for the purchase of the Common Shares through the exercise of Warrants.

  • All covenants, conditions, stipulations, promises, and agreements contained in this Warrant Deed shall be for the sole and exclusive benefit of the parties hereto (and the Placing Agent with respect to the Sections 6.1, 6.4 and 9.2 hereof) and their successors and assigns and of the registered holders of the Warrants.

  • A copy of this Warrant Deed shall be available at all reasonable times at the office of the Warrant Agent, for inspection by the registered holder of any Warrant.

  • Warrant Agent Agreement means that certain Warrant Agent Agreement, dated as of the Initial Exercise Date, between the Company and the Warrant Agent.

  • Warrant Agreement means the Warrant Agreement, dated as of the date set forth in Item 4 of Schedule A hereto, as amended from time to time, between the Company and the United States Department of the Treasury.
