Definition of WABCO Change in Control


WABCO Change in Control means (a) the public announcement of a merger or consolidation of Buyer Parent in which the stockholders of Buyer Parent immediately prior to such transaction would own, in the aggregate, 50% or less of the total combined voting power of all classes of capital stock of the surviving entity normally entitled to vote for the election of directors of the surviving entity; (b) the sale by Buyer Parent, directly or indirectly, of all or substantially all of its assets in one transaction or in a series of related transactions; (c) the sale by Buyer Parent, directly or indirectly, of all or substantially all of Buyer's business, equity interests, or assets in one transaction or in a series of related transactions; or (d) a transaction or series of transactions as a result of which the Partnership ceases to be wholly-owned, directly or indirectly, by Buyer Parent.
