VoteCo Sponsor Member means Xxxxxx X. Xxxxxxx, Xx. or such Person who is the successor to Xxxxxx X. Xxxxxxx, Xx. as Chairman and Chief Executive Officer at Colony Capital, LLC or is designated thereby and is the Transferee of interests in FCP VoteCo pursuant to the terms of the FCP VoteCo Operating Agreement; provided that such Person has obtained all necessary approvals from the Gaming Authorities.
