Voluntary Redemption Event definition

Voluntary Redemption Event means, in respect of any Indebtedness consisting of bonds, debentures, senior or subordinated notes or other debt securities, any redemption, prepayment or call for redemption or prepayment of any or all of such Indebtedness at the election of the issuer and not in connection with any breach by such issuer of any term or covenant contained in any instrument, indenture or agreement evidencing such Indebtedness.

  • For the avoidance of doubt, save and except any redemption pursuant to a Partial Voluntary Redemption Event or Full Voluntary Redemption Event the Company shall have the obligation to pay the Redemption Premium (Make- Whole) for any redemption of the Debentures prior to the Scheduled Redemption Date.

More Definitions of Voluntary Redemption Event

Voluntary Redemption Event means (i) any Trigger Event and (ii) any Change in Control that has been approved or recommended by the Board of Directors of the Corporation after the date of issuance of the Series C Preferred Stock (which shall include, without limitation, any Change in Control that has been excluded, after the date of issuance of the Series C Preferred Stock, from the provisions of Section 203 of the DGCL or from any rights or similar plan of the Corporation).
Voluntary Redemption Event means the occurrence of: (a) the Specified Voluntary Redemption Event; and/or (b) Permitted Voluntary Redemption Event as set out in paragraph 2.4 (Other Voluntary Redemption) of Schedule 1 (Terms and Conditions).

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Special Mandatory Redemption Date has the meaning set forth in Section 3.02(b) hereto.

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Special Mandatory Redemption Price means 100% of the principal amount of the Notes plus accrued and unpaid interest on the principal amount of the Notes to, but not including, the Special Redemption Date.

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Optional Redemption Notice shall have the meaning set forth in Section 6(a).

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.
