VGZ or the “Corporation”) for value received hereby promises to pay to the order of on March 4, 2011 (the “Maturity Date”) or on such earlier date as the principal amount hereof may become due in accordance with the provisions of the Indenture hereinafter mentioned, the sum of · DOLLARS (US $·) in lawful money of the United States, on presentation and surrender of this Note at the Corporate Trust Office. This Note is one of the Senior Secured Notes due March 4, 2011 in the aggregate principal amount denominations of $1,000 in lawful money of the United States issued under a Senior Secured Note Indenture (the “Indenture”) made as of March 4, 2008 and made between VGZ and HSBC Bank USA N.A., as trustee (the “Trustee”). Reference is hereby made to the Indenture for a description of the rights of the holders of the said Notes, VGZ and the Trustee and of the terms and conditions upon which the Notes are issued and held, all to the same effect as if the provisions of the Indenture were herein set forth, to all of which provisions the holder of this Note, by acceptance hereof, assents. All capitalized terms used herein have the meaning ascribed thereto in the Indenture unless otherwise indicated. The Notes are issuable as fully registered Notes in denominations of US$1,000 and integral multiples of US$1,000 and in other authorized denominations. The Notes of any authorized denomination may be exchanged, as provided in the Indenture, for Notes in an equal aggregate principal amount in some authorized denomination or denominations. This Note and all other Notes authenticated and issued under the Indenture rank pari passu with one another, in accordance to their tenor without discrimination, preference or priority. The Indenture does not restrict VGZ from incurring additional Indebtedness for borrowed money or from mortgaging, pledging or charging its properties to secure any Indebtedness. Subject to regulatory requirements, Notes may be purchased by VGZ in the open market or by tender or private contract at any price. Notes purchased by VGZ shall be cancelled and shall not be reissued. The Indenture contains provisions for the holding of meetings of Noteholders and rendering resolutions passed at such meetings and instruments in writing signed by the holders of 51% of the Notes outstanding binding upon all Noteholders, subject to the provisions of the Indenture. • Zorgverzekeraar VGZ is entitled to offsetset the claims which have originated on this basis against other payments.

• The policyholder may give notice of termination of the insurance: - no later than 31 December of any year with effect from 1 January of the next calendar year; - on the date of termination of the VGZ Zorgverzekering or the VGZ Restitutieverzekering; - in the situations referred to in clause 5.2.

• Zorgverzekeraar VGZ has made supplemental arrangements with a number of optical retail chains especially for you.

• The coverage will resume on the day following the day on which the amount due plus any costs have been received by Zorgverzekeraar VGZ.

• The Trustee shall then remit such payment it has received from VGZ to the Holder of such surrendered Note.
