Vested Performance Shares. Provided that the Participant’s Service has not terminated prior to the Performance Share Vesting Date, except as provided by the Agreement, on the Performance Share Vesting Date the number of Vested Performance Shares (not to exceed the Maximum Number of Performance Shares) shall be determined by multiplying the Target Number of Performance Shares by the Pre-Tax Operating Income Multiplier (as defined by the Agreement).
Vested Performance Shares means the shares of Common Stock awarded to the Participant following the Participant’s satisfaction of the vesting provisions of Section 4 and, if applicable, the determination by the Committee of the extent to which the Company has achieved the Performance Goals for the Performance Cycle pursuant to Section 3.

More Definitions of Vested Performance Shares
Vested Performance Shares means Performance Shares that are eligible for redemption. Each Performance Share Series becomes eligible for redemption four years after issuance. Thus, a Participant may exercise 100% of their Performance Shares that have been held for four years.
Vested Performance Shares means the shares of Common Stock awarded to Participant following Participant’s satisfaction of the vesting provisions of Section 4 and, if applicable, the determination by the Committee of the extent to which the Company has achieved the Performance Objectives for the 2002-2004 Performance Cycle pursuant to Section 3.
Vested Performance Shares means shares of Performance Shares that are not subject to forfeiture under the terms of this Agreement. To the extent there is a conflict between the definition given to a defined term in this Agreement, the Plan and the Employment Agreement, the definition in the Employment Agreement shall control, or if no definition is contained in the Employment Agreement, the definition in the Plan shall control.
