To the extent permitted by Nevada Law, former stockholders of record of Energy Venture shall be entitled to vote after the Effective Date at any meeting of the stockholders of ABC Funding the number of whole shares of ABC Stock into which their respective shares of Energy Venture Stock are converted, regardless of whether such holders have exchanged their certificates for certificates representing ABC Stock in accordance with the provisions of this Agreement.
The share certificates representing the paid-up capital shares of the Venture Stock were duly issued to the parties as provided in the Investment Agreement.
