Vendor’s Knowledge definition

Vendor’s Knowledge or any other similar knowledge qualification, means the actual or constructive knowledge of a Vendor or, if such Vendor is an entity, of any of such Vendor’s directors, officers or similar Persons, after reasonable due inquiry.
Vendor’s Knowledge means the actual knowledge, after reasonable inquiry, of Xxxxxxxx X. Xxxxx, officer of each of the Vendors, and Xxxxxxx Xxxx (Senior Area Manager Utilities & Facilities of the Xxxxxx Mine), Xxxxxx Xxxxx (Section Manager of the Xxxxxx Mine), Xxxxxxx Xxxxxxxx (Area Manager of the Xxxxxx Mine), and Xxxxx Xxxxx (Section Manager of the Xxxxxx Mine).
Vendor’s Knowledge means the actual knowledge of Txxxxx Xxxxxxxxx and Wxxxx Xxxxxx after making such inquiries as reasonable in the circumstances, and the actual knowledge of Cxxxxxx Xxxxxxx (Director of Finance of Quantum) without having made any inquiries;

Examples of Vendor’s Knowledge in a sentence

  • No investigation or review by any Governmental Entity is pending or, to the Vendor’s Knowledge, threatened against the Vendor in respect of the Business of the Assets, nor has any Governmental Entity indicated to the Vendor an intention to conduct the same.

  • Excluding provisions that cause or constitute a breach or default upon the commencement or filing of bankruptcy proceedings or insolvency, to Vendor’s Knowledge, (A) Vendor is not in breach or default in any material respect of any of its obligations under any such Material Contract, nor (B) has any event occurred which constitutes, or which with notice or lapse of time or both would constitute, a material breach or default by Vendor under any such Material Contract.

  • There is no pending or, to the Vendor’s Knowledge, threatened in writing strike, work stoppage, slowdown or lockout against the Corporation (or the Vendor in respect of the Employees).

  • Except as set forth on Schedule 4.1(m), to Vendor’s Knowledge, there are no Wells that: (i) Vendor is obligated by any Applicable Law or Contract to currently plug, dismantle or abandon; or (ii) have been plugged, dismantled or abandoned in a manner that does not comply in all respects with applicable Law or Contract.

  • There is no pending or, to the Vendor’s Knowledge, threatened in writing strike, work stoppage, slowdown or lockout against the Corporation.


More Definitions of Vendor’s Knowledge

Vendor’s Knowledge means the knowledge of the Vendor after due inquiry where such due inquiry is limited to the Chief Financial Officer of the Corporation;
Vendor’s Knowledge means the actual knowledge of the Vendor’s senior executive officers identified in a letter from the Vendor to the Purchaser delivered on or prior to the date hereof, who are responsible for the matters in question without the duty to make any inquiry, but does not include the knowledge of any other Person or constructive knowledge;

Vendor’s Knowledge means the knowledge that each of the Vendors has or should have in accordance with the diligence to be expected from an orderly business man and of a loyal representative (“ordenado comerciante y representante lxxx”), after reasonable inquiry of either party and, in particular, of 3-Gutinver, and taking into account the person’s position and seniority and assuming due and reasonable enquiries were made by such persons by requesting confirmation from the relevant managers and senior executives of the Gxxxx Group, as to the facts and circumstances of such statement.
