Vendor's Information definition

Vendor's Information means, with respect to each Vendor, all information, communications, data, documents, agreements, files and other materials relating in any way to such Vendor or any of its Affiliates that do not exclusively relate to the Company or the Subsidiaries, whether disclosed orally or disclosed or stored in written, electronic or other form or media, whether privileged or non-privileged, including all emails, correspondence, invoices, recordings and other documents or files, evidencing or reflecting communications among such Vendor and the Company and their respective Affiliates, representatives, managers, officers and directors, in-house counsel, outside counsel, advisors and consultants, and all files maintained by any of them (including all such materials provided in the Data Room or otherwise made available or disclosed in connection with the negotiation, preparation, execution, delivery and performance of this Agreement and the other transaction documents and the consummation of the transactions contemplated hereby and thereby); provided that “Vendors’ Information” shall exclude (a) all Technical Information, which is separately addressed herein and in the Technology Agreements, and (b) any information that Purchaser can show (i) was or becomes available to the public other than as a result of disclosure by Purchaser or any of its Affiliates, (ii) was already in Purchaser’s or its Affiliates possession prior to any disclosure in connection with the transactions contemplated by this Agreement or (iii) was independently developed by Purchaser or its Affiliates without use of or recourse to any Vendors’ Information nor any breach of confidentiality obligations (provided that any combination of features shall not be deemed within the foregoing exception, regardless of whether information about individual components is separately in the public domain or in the possession of or received by the Purchaser, the Company, any Subsidiary or any other Purchaser Affiliate, unless the combination itself and its principle of operation are in the public domain or, without restriction on disclosure, in the lawful possession of the Purchaser);
Vendor's Information means any information or materials that the Vendor provides in their Vendor Page, including any product names, images or trademarks.

  • One Fine Baby or its licensors retain ownership of all Intellectual Property Rights in and to One Fine Baby Shop (other than Vendor's Information).

  • The Vendor represents and warrants that the products displayed on its Page and Vendor's Information do not infringe the Intellectual Property Rights of any third party.

  • The estimates of mineral resources at the Homestake Property as described in the Vendor's Information Record comply in all material respects with NI 43-101.

  • Vendor indemnifies One Fine Baby against any Loss that One Fine Baby may suffer or incur as a result of any Claim brought against One Fine Baby that the products displayed on its Page or the Vendor's Information infringes the Intellectual Property Rights of any third party.

Related to Vendor's Information

  • Access Information means information that alone or together with other information, can provide access to any portion of Your Account, including but not limited to, Your Account number, login names, passwords, credit card or other financial information, security questions and their respective answers, and any other similar information. For the avoidance of doubt, Your Access Information will include any similar information for each of Your Users.

  • Business Information means all information and records (in whatever form held and whether commercial, financial, technical or otherwise) relating to the Company or the business or activities or affairs of the Company, which can be reasonably considered to be confidential to the Company.

  • Appendix Information means the information which must be provided for the selected modules as set out in the Appendix of the Approved EU SCCs (other than the Parties), and which for this Addendum is set out in:

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Confidential Business Information means any internal, non-public information (other than Trade Secrets already addressed above) concerning the Employer’s financial position and results of operations (including revenues, assets, net income, etc.); annual and long-range business plans; product or service plans; marketing plans and methods; training, educational and administrative manuals; customer and supplier information and purchase histories; and employee lists. The provisions of Sections 6 and 7 shall also apply to protect Trade Secrets and Confidential Business Information of third parties provided to the Employer under an obligation of secrecy.
