Variable Compensation definition

Variable Compensation means any cash-based performance or incentive award paid by or any equity compensation awarded by the Company (or any of its affiliates), including, but not limited to, under the 2020 Stock Plan (and any successor thereto) and the IC Plan.

  • This term refers to this Variable Compensation Agreement, including the Annex.

More Definitions of Variable Compensation

Variable Compensation means any amounts awarded in accordance with one of the Variable Compensation Plans.
Variable Compensation means the aggregate amount of discretionary variable compensation awarded to a Participant for a fiscal year before reduction pursuant to this Program and before deferral pursuant to any agreement or any other plan or program of the Company whereby compensation is deferred, including, without limitation, a plan whereby compensation is deferred in accordance with section 401(k) of the Code or reduced in accordance with section 125 of the Code and the Stock Unit Award Program Subplan. Notwithstanding the foregoing, Variable Compensation may also include amounts awarded under the Company’s Pay-for Performance Program if the Committee so determines. In no event shall a Participant’s annual base salary be considered Variable Compensation.
Variable Compensation means variable compensation, including (A) cash bonuses, which are subject to the performance of the Office Holder and based on (i) the financial results of the Company and or other key measurable performance metrics and indicators ("Performance Measures") which shall be set in advance by the Board of Directors of the Company, on an annual basis, upon approval of the annual budget, and (ii) a discretionary component of the cash bonus, and/or (B) equity based compensation such as grants of options under the Company's Employee Share Option Plan, restricted stock units or other awards tied to the share price of the Company.
Variable Compensation. You will be eligible to receive an annual performance bonus of up to 62.5% of your Base Salary. The Company shall consider and make a bonus determination not later than 90 days after the end of each fiscal year during which you are employed by the Company. The Company will pay such bonus to you in cash or stock before the end of the fifth month following the fiscal year. Bonus awards shall be determined by the Company in its sole discretion.
Variable Compensation means bonuses and commissions, as designated by the Committee.
Variable Compensation means the Participant’s target variable compensation position target for the annual performance period in effect as of the date of the Participant’s Qualifying Termination under the Company’s Executive Cash Bonus Plan, as amended from time to time, or successor annual variable compensation plan.
Variable Compensation means the amount of an Executive’s annual bonus under the Company’s Annual Incentive Compensation Plan, the amount of an annual or long-term bonus under any other plan the Administrative Committee determines is eligible for deferral under this Plan, or any other form of non-Salary compensation the Administrative Committee determines is eligible for deferral under this Plan.
