Value Adjustment Event definition

Value Adjustment Event means, with respect to any Loan Asset, the occurrence of any one or more of the following events after the related Cut-Off Date:

Examples of Value Adjustment Event in a sentence

• The Servicer will provide the Administrative Agent and each Lender (with a copy to the Collateral Agent) with prompt written notice of the occurrence of any Value Adjustment Event with respect to any Eligible Loan Asset of which the Servicer has knowledge or has received notice.

• For transportation by air, packages containing COVID-19 vaccines accompanied by data loggers or cargo tracking devices containing lithium batteries are not subject to the marking and documentation requirements of § 173.185(c)(3) and (4)(iv).

• Together with such notification, the Borrower or the Servicer shall inform the Administrative Agent whether, to the knowledge of the Borrower or Servicer, as applicable, such event constitutes a Value Adjustment Event.
