Valuation Obligations definition

Valuation Obligations means, if Cash Settlement applies, (i) any Reference Obligation; and (ii) any obligation of a Reference Entity which (a) is described by the Valuation Obligation Category specified herein, and (b) has the Valuation Obligation Characteristics specified herein;
Valuation Obligations means obligations (direct or indirect) of the Reference Entity which would constitute "Deliverable Obligations" for the purposes of the CDS Transaction;
Valuation Obligations means any combination of (A) obligations of the Affected Reference Entity (either directly or as provider of any Qualifying Guarantee) being Bonds or Loans having the characteristics set out in paragraphs (a) to (f) below and which are (i) payable in an amount equal to their outstanding principal balance or Due and Payable Amount, (ii) not subject to any counterclaim, defence (other than a counterclaim or defence based on the factors set forth in (a) to (d) in the definition of "Credit Event") or right of set off by or of the Affected Reference Entity or any Underlying Obligor, and (iii) in the case of a Qualifying Guarantee other than a Qualifying

Examples of Valuation Obligations in a sentence

  • If more than one of "Assignable Loan", "Consent Required Loan" and "Direct Loan Participation" are specified as Valuation Obligation Characteristics in the Standard, the Valuation Obligations may include any Loan that satisfies any one of such Valuation Obligation Characteristics specified and need not satisfy all such Valuation Obligation Characteristics.

  • The date, time and method of such auction, and the selection of the Reference Obligation, will impact the Value of the Valuation Obligations.

  • The Credit Linked Notes do not represent a claim against any Reference Entity and, in the event of any loss, investors in Credit Linked Notes will not have recourse under the Credit Linked Notes to any Reference Entity nor shall a Noteholder have any legal, beneficial or other interest whatsoever in any of the Obligations, the Reference Obligations, the Valuation Obligations or the Deliverable Obligations relating to a Credit Linked Note.

  • Whilst the Value of the Valuation Obligations are determined by reference to Quotations, if no Quotations are obtained, such value shall be determined by the Calculation Agent acting in good faith and a commercially reasonable manner.

  • Such Asset Package may be worth significantly less than the original Prior Deliverable Obligation or Package Observable Bond prior to such Asset Package Credit Event and may result in a significantly lower Cash Redemption Amount being paid out to Noteholders than would have been the case following the relevant Credit Event had the Value of the Valuation Obligations been determined only by reference to Deliverable Obligations.

  • In such capacity, it may take certain actions which may influence the Auction Final Price including (without limitation): (a) providing rates of conversion to determine the applicable currency conversion rates to be used to convert any obligations which are not denominated in the auction currency into such currency for the purposes of the auction; and (b) submitting bids, offers and physical settlement requests with respect to the relevant Deliverable Obligations or Valuation Obligations, as applicable.

  • Obligations, Valuation Obligations or the Reference Obligation relating to a Reference Entity do not exist on, or cease to exist on or following, the Trade Date relating to that Reference Entity.

  • Obligations, Deliverable Obligations, Valuation Obligations or the Reference Obligation do not exist on, or cease to exist on or following, the Trade Date.

  • The Issuer may at any time after delivering a Valuation Obligation Notification but prior to the Valuation Time on the Valuation Date deliver a further Valuation Obligation Notification which shall replace all prior Valuation Obligation Notifications in relation to any additional or replacement Valuation Obligation(s) specified therein.

  • Thereafter, the Valuation Obligation Notice Date shall be deemed to have been the “ Delivery Notice Date” and the Valuation Obligations shall be deemed to be the Deliverable Obligations which the Bank expects to comprise the Portfolio.

  • Indemnification Obligations means each of the Debtors’ indemnification obligations in place as of the Effective Date, whether in the bylaws, certificates of incorporation or formation, limited liability company agreements, other organizational or formation documents, board resolutions, management or indemnification agreements, or employment or other contracts, for their current and former directors, officers, managers, employees, attorneys, accountants, investment bankers, and other professionals and agents of the Debtors, as applicable.

  • Indemnification Obligation means any existing or future obligation of any Debtor to indemnify current and former directors, officers, members, managers, agents or employees of any of the Debtors who served in such capacity, with respect to or based upon such service or any act or omission taken or not taken in any of such capacities, or for or on behalf of any Debtor, whether pursuant to agreement, the Debtors’ respective memoranda, articles or certificates of incorporation or formation, corporate charters, bylaws, operating agreements, limited liability company agreements, or similar corporate or organizational documents or other applicable contract or law in effect as of the Effective Date, excluding any obligation to indemnify any of the foregoing parties with respect to any act or omission for or on behalf of the Debtors arising out of any act or omission determined by a Final Order to constitute actual fraud, willful misconduct, or gross negligence.

  • Interest Rate Protection Obligations means the obligations of any Person pursuant to any Interest Rate Protection Agreements.

  • Conversion Obligation shall have the meaning specified in Section 14.01(a).

  • Indemnity Obligations means all obligations of the Company to Indemnitee under this Agreement, including the Company’s obligations to provide indemnification to Indemnitee and advance Expenses to Indemnitee under this Agreement.

  • Independent Valuation Provider means any of Xxxxxxx & Marsal, Xxxxxxxx Xxxxx Xxxxxx & Xxxxx Capital, Inc., Duff & Xxxxxx LLC, Xxxxxx, Xxxxxx and Company, Lincoln Partners Advisors, LLC, Xxxxx Xxxxxx Xxxx, LLC and Valuation Research Corporation and Xxxxx, or any other Independent nationally recognized third-party appraisal firm selected by the Administrative Agent, and reasonably acceptable to the Borrower.

  • Valuation Amount means, in respect of each Mortgaged Vessel, the value thereof as most recently determined under clause 8.2.2; and
