Examples of USCC Entities in a sentence

  • Within five (5) days of execution of this Agreement, Uroplasty will file in the United States Patent and Trademark Office a written declaration of abandonment of Uroplasty's Patent Application and request for Interference and shall not file any continuation, continuation in part applications or foreign applications based on Uroplasty's Patent Application.

  • Except as set forth in Schedule 4.06(a), none of the USCC Entities, USCC Newco, or any Affiliate thereof has entered into any obligation, agreement, arrangement or understanding to Transfer any USCC License or that would adversely affect ALLTEL’s rights to, or use of, any USCC License after Closing.

  • No Person other than the USCC Entities is licensed to use, or otherwise has a right to use, the USCC Licenses held by the USCC Entities.

  • Each of USCC, the USCC Receiving Entity, USCC Newco and the USCC Entities is duly organized, in good standing and validly existing under the Laws of its jurisdiction of organization and has all requisite corporate or limited liability company power and authority to enter into each Transaction Document to which it is or shall be a party and consummate the Transactions to which it is or shall be a party.

  • To the Knowledge of USCC, no question concerning representation presently exists with respect to any employees of the USCC Entities, USCC Newco or any Affiliate thereof with respect to employees employed in operating the USCC System.

  • None of the USCC Entities, USCC Newco or any Affiliate thereof has received notice of any formal or informal complaint or order filed against any of the USCC Entities, USCC Newco or any Affiliate thereof alleging any material non-compliance by it with respect to any such Laws, in each case to the extent applicable to the operation or use of the USCC System or the USCC Transferred Assets.

  • To the Knowledge of USCC, there are no controversies, grievances or arbitrations pending or threatened between the USCC Entities, USCC Newco or any Affiliate thereof and any of its current or former employees or any labor or other collective bargaining unit representing any current or former employees, in each case to the extent relating to employees who perform or have performed services for the USCC System.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller Parent has the meaning set forth in the Preamble.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Released Entities means released entities as such term is defined
