U.S. Memorandum definition

U.S. Memorandum means the final U.S. private placement memorandum (including a Qualified Institutional Buyer Letter) describing the offer and sale of the Units to, or for the account or benefit of, persons in the United States and U.S. Persons pursuant to Rule 144A, in a form satisfactory to the Underwriter and the Corporation, to which will be attached the Final Prospectus; and
U.S. Memorandum has the meaning ascribed thereto in subsection 4(a)(iii);
U.S. Memorandum means the U.S. Private Placement Memorandum and any amendments thereto, to be attached to all copies of the Prospectus to be delivered in connection with the offer and sale of the Offered Securities in the United States and referred to in Schedule "A" hereto;

U.S. Memorandum means, together, the Preliminary U.S. Private Placement Memorandum and Final U.S. Private Placement Memorandum; and

U.S. Memorandum means the confidential U.S. Placement Memorandum, (including the form of Qualified Institutional Buyer Letter comprising Exhibit I thereto) and any amendments thereto, to be attached to all copies of the Prospectus to be delivered in connection with the offer and sale of the Offered Securities in the United States and referred to in Schedule C hereto; "U.S. Securities Laws" means all of the applicable federal securities laws and regulations of the United States, including, without limitation, the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended;
