U.S. IP Assignment definition

U.S. IP Assignment a collateral assignment or security agreement pursuant to which a U.S. Facility Obligor grants a Lien on its Intellectual Property to Agent, as security for (or given with the intent to secure) the U.S. Facility Obligations.
U.S. IP Assignment means the assignment agreement in the form attached hereto as Schedule 1.1.207 providing for the assignment by BMCA to the Purchaser (or its permitted designee) of the U.S. Patents and Trade-marks.
U.S. IP Assignment is defined in Section 6.2(f)(ii).

  • The Vendor shall cause BMCA to sell and deliver to the Purchaser the U.S. Patents and Trade-marks pursuant to the U.S. IP Assignment prior to the sale and delivery of the BMCA Shares and prior to the transfer of Bombardier Corporation shares and the liquidation and dissolution of Holdings USA that occur as part of the Reorganization.
