U.S. Company Counsel shall each have furnished to the Underwriter, at the request of the Company, its (i) written opinion, addressed to the Underwriter and dated the Closing Date or any Additional Closing Date, as the case may be, and (ii) negative assurance letter, addressed to the Underwriter and dated the Closing Date or any Additional Closing Date, as the case may be, in each case, in a form reasonably satisfactory to the Underwriter.
Upon satisfaction of the covenants and conditions set forth in Sections 2.2 and 2.3, the Closing shall occur at the offices of the US Company Counsel or such other location as the parties shall mutually agree.
The Placement Agent shall have received from each of U.S. Company Counsel and Canadian Company Counsel such counsels’ written opinions with respect to the Securities as contemplated in the Purchase Agreement, addressed to the Placement Agent and dated as of the Closing Date, in form and substance reasonably satisfactory to the Placement Agent.
The Agent shall have received the opinions of U.S. Company Counsel and Dutch Company Counsel required to be delivered pursuant to Section 4(m) on or before the date on which such delivery of such opinion is required pursuant to Section 4(m).
The Agents shall have received the opinions of each of U.S. Company Counsel and Canadian Company Counsel required to be delivered pursuant to Section 7(m) and 7(n) and the officer certificates pursuant to Section 7(o) on or before the date on which such delivery of such opinion or certificate is required pursuant to Section 7(m), Section 7(n) and Section 7(o), respectively.
