Upstream Licenses definition

Upstream Licenses means the Stanford Agreement and any New In-License Agreements.
Upstream Licenses means the licenses, collaboration and/or other agreements entered into by Licensor and/or its Affiliates and one or more Third Parties pursuant to which the Licensor Molecule and/or the Licensor Molecule IP are licensed to Licensor and/or its Affiliates and sublicensed to the Company under this Agreement.
Upstream Licenses means an agreement between Landos or any of its Affiliates, on the one hand, and any Third Party, on the other hand, pursuant to which Landos has (a) in-licensed any Patent Rights or Know-How owned or Controlled by such Third Party that are included as part of the Licensed Patent Rights or Licensed Know-How (to the extent necessary or useful for Lian’s Development, Manufacture and Commercialization of any Licensed Product in the Territory) or (b) agreed to provisions that would require Lian to make any payments (including royalties) to any Third Party or to undertake or observe any restrictions or obligations with respect to the Development, Manufacture or Commercialization of Licensed Products in the Field.

  • Except as set forth in Section 2.3 (a) below, Licensor shall at all times remain responsible for the payment of any royalty, milestone and other payment obligations, if any, due to Third Parties under any Upstream Licenses to which.

Upstream Licenses means any and all agreements between Marinus or any of its Affiliates, on the one hand, and any Third Party (the “Upstream Licensor”), on the other hand, pursuant to which Xxxxxxx has (a) in-licensed any Patent, Know-How, or trademarks owned or Controlled by such Third Party that are included as part of the Marinus IP, or (b) agreed to provisions that would require Company to make any payments (including royalties or as part of COGS) or to undertake or observe any restrictions or obligations with respect to the Exploitation of any Licensed Compound or Licensed Product in the Field.
Upstream Licenses means all agreements with Third Parties as of the Effective Date or entered into during the Term, pursuant to which Viela has licensed any of the Licensed IP or rights with respect to the Development, Manufacture and/or Commercialization of the Licensed Compound or Licensed Product from such Third Parties, or otherwise owes to such Third Parties any amounts for the Development or Commercialization of the Licensed Compound or Licensed Product, and such Third Parties areUpstream Licensors.” Exhibit C contains a true and complete list of Upstream Licenses as of the Effective Date.
