UPCB Fee Letter definition

UPCB Fee Letter means the fee letter agreement dated the Issue Date by and among the Issuer and UPC Financing relating to the payment of certain fees to the Issuer by UPC Financing.
UPCB Fee Letter means the fee letter agreement dated the Issue Date by and among the Issuer and UPC Financing relating to the payment of certain fees to the Issuer by UPC Financing and one or more fee letters entered into by and among the Issuer and UPC Financing in connection with the issuance of Additional Notes. “UPCB Fee Letter Collateral” means the Issuer’s rights under the UPCB Fee Letter.
