• Licensee shall indemnify, hold harmless, and defend all University Indemnitees against any claim of any kind arising out of or related to the exercise of any rights granted Licensee under this Agreement or Licensee’s breach of any provision of this Agreement.

• Contractor hereby warrants that it has not and shall not breach nor infringe any patent, copyright, trademark, trade secret, or other proprietary right owned or acquired by third parties as a result of or in the course of the performance of the Services and agrees to indemnify the University Indemnitees with respect to all Claims arising from any such breach or infringement.
