Unit Sales Price definition

Unit Sales Price or “Unit Sales Prices” shall mean the unit price or prices for Products paid to Valeo, its Affiliates or permitted (if any) assigns or sublicensees by an individual Customer less all amounts attributable to (a) discounts, (b) duties and customs charges, (c) taxes remitted to seller or required to be charged by seller and (d) insurance, shipping and handling.
Unit Sales Price means the gross invoiced sales price for any Unit sold by Licensee, its Affiliates or Subsidiaries throughout the Territory during each calendar quarter, less the following amounts incurred, allowed or paid by Licensee or its Affiliates or Subsidiaries during such calendar quarter with respect to sales of Units regardless of the calendar quarter in which such sales were made: (a) trade, cash and quantity discounts or rebates actually allowed or taken, including discounts or rebates to governmental organizations; (b) credits or allowances actually given or made for rejection of, and for uncollectible amounts on, or return of previously sold Units ; (c) charges for insurance, freight, and other transportation costs directly related to the delivery of a Unit; and (d) taxes, tariffs, duties or governmental charges levied on the sales, transfer, transportation or delivery of a Unit (including any tax such as a value added or similar tax or government charge) borne by the seller thereof, other than franchise or income tax of any kind whatsoever.
Unit Sales Price refers to the gross sales price as recorded by IMPCO in U.S. dollars, after using officially published currency exchange calculations, if required, on the effective day of sale (as defined by IMPCO contracts).

  • When a Limited Partner acquires a particular class of Units, that Limited Partner shall receive a number of Units of such class equal to the Gross Purchase Price paid by such Limited Partner for such Units, divided by the Gross Per Unit Sales Price for such class of Units.

  • As used herein, “Unit Release Payment” means the greatest of: (i) 100% of the Net Sales Price for such Residential Unit and/or Parking Unit(s), as the case may be, (ii) 93% of the Base Purchase Price for such Residential Unit and its Parking Units, plus 100% of any Upgrade Profits, or (iii) 90% of the Minimum Unit Sales Price.
