Unit of Equipment definition

Unit of Equipment means one elevator, escalator, chairlift, platform lift, automated people mover operated by cables, or moving sidewalk, or related equipment.
Unit of Equipment means, as to the Equipment leased pursuant to any Schedule (a) each individual item of PC Equipment leased pursuant to such Schedule, and (b) all Equipment taken as a whole leased pursuant to such Schedule other than PC Equipment taken as a whole.

  • If Buyer’s Inspectors determine that a Unit of Equipment fails to conform to the requirements of the Specification, this Contract, or the Standards, the costs and charges of the original tests, any additional tests and work and materials in connection with the correction and/or replacement of the Equipment shall be paid by Seller.

  • Unless otherwise agreed by Buyer in writing, the failure of a Unit of Equipment, or materials, supplies and equipment thereof, in a test shall, at Buyer’s option, be considered the failure of each Unit in the same production series.

  • If either Buyer or Seller is delayed in making or taking delivery of any Unit of Equipment as a result of any “Excusable Delay” (as defined in the next sentence), Buyer and Seller shall not be liable for such failure or delay and the Scheduled Delivery Dates shall be extended in the event Seller or Buyer shall have given written notice to the other party within the time periods specified in ARTICLE 3(b) of the Excusable Delay (subject however to Buyer’s cancellation rights in ARTICLE 3(c)).

  • On or before the execution of this Lease, on the Effective Date with respect to any Parcel of Property or Unit of Equipment, and annually on or before the anniversary of the date of this Lease, the Lessee will furnish to the Lessor certificates of an independent insurance broker reasonably satisfactory to the Lessor or other evidence reasonably acceptable to the Lessor certifying that the insurance then carried and maintained on each Parcel of Property or Unit of Equipment complies with the terms hereof.

Unit of Equipment shall have the meaning assigned to it in Section 1(a) of the Master Lease Agreement. "WELFARE PLANS" shall mean any welfare plan, as defined in Section 3(1) of ERISA, which is maintained or contributed to by Aladdin Gaming or any ERISA Affiliate. "WITHDRAWAL LIABILITY" shall mean, at any time, the aggregate amount of the liabilities, if any, pursuant to Section 4201 of ERISA, and any increase in contributions pursuant to Section 4243 of ERISA with respect to all Multiemployer Plans. "30-DAY LIBOR" shall mean, for any Interest Period, the rate per annum (rounded upwards to the nearest 1/16th of one percentage point, if necessary) equal to the quotient obtained by dividing (i) the offered rate for U.S. Dollar deposits for a thirty (30) day period appearing on Telerate page 3750 (or as quoted by such other reference source as may be designated by the Agent in writing) as of 11:00 a.m. (London time), on the day that is two (2) Business Days prior to the beginning of such Interest Period (but if at least two such rates appear on such page or are so quoted at such time, the offered rate for such Interest Period shall be the arithmetic mean of such rates), by (ii) a percentage equal to one (1) minus the LIBOR Reserve Percentage. "90-DAY LIBOR" shall mean, for any Interest Period, the rate per annum (rounded upwards to the nearest 1/16th of one percentage point, if necessary) equal to the quotient obtained by dividing (i) the offered rate for U.S. Dollar deposits for a ninety (90) period appearing on Telerate page 3750 (or as quoted by such other reference source as may be designated by the Agent in writing) as of 11:00 a.m. (London time), on the day that is two (2) Business Days prior to the beginning of such Interest Period (but if at least two such rates appear on such page or are so quoted at such time, the offered rate for such Interest Period shall be the arithmetic mean of such rates), by (ii) a percentage equal to one (1) minus the LIBOR Reserve Percentage. Capitalized terms used in the Facilities Agreement without definition shall have the meaning assigned to such terms in the Senior Credit Agreement as in effect on the date hereof.
