Any Person admitted to the Partnership as a Partner following the Transfer of Units from a Partner shall succeed to all of the rights, duties and obligations of its Transferor under this Agreement; provided that any such Transfer by a Partner shall not (i) relieve such Partner of its duties and obligations under this Agreement for periods prior to such Transfer or (ii) relieve any Investor of its obligations under Section 4.1(e) with respect to its Unfunded Commitment Amount.
