Underwriter Indemnified Party definition

Underwriter Indemnified Party has the meaning attributed thereto in Section 13; and
Underwriter Indemnified Party means each Underwriter, its partners, directors and officers, and any person who controls any Underwriter within the meaning of Section 15 of the Act or Section 20 of the Exchange Act, and the successors and assigns of all of the foregoing persons.
Underwriter Indemnified Party shall have the meaning set forth in Section 4.6(b).

  • Notwithstanding anything to the contrary contained herein, if any Underwriter Indemnified Party shall assume the defense of such action as provided above, the Company shall have the right to approve the terms of any settlement of such action, which approval shall not be unreasonably withheld.
