Unconditional Time definition

Unconditional Time means such time prior to the Spin-Off Effective Time as all conditions to each party’s obligation to consummate the Transactions have been satisfied or waived, other than the delivery of (v) the certificates specified in Sections 7.02(c) and 7.03(c), (w) the DHC Tax Opinion Representations and the ANPP Tax Opinion Representations, (x) the opinions of ANPP Tax Counsel and DHC Tax Counsel pursuant to Sections 7.02(d) and 7.03(d), respectively, (y) all documents and instruments necessary to effect the ANPP Contribution (including share, limited liability company interest or limited partnership interest certificates, if any, or other instruments evidencing the ANPP Contribution Shares and the ANPP Contributed Assets) and (z) all documents and instruments necessary to effect the Merger (including the Certificate of Merger), each of which have been validly executed by the applicable party.
Unconditional Time means the time when the transactions contemplated by the Transaction Agreement become unconditional in accordance with the terms thereof and all conditions of the parties to the Transaction Agreement contained therein are deemed waived.

  • Unconditional Date means the date on which the Offer is declared or becomes unconditional in all respects.

  • Real-time means the actual time in which an event takes place, with the reporting on or the recording of the event simultaneous with its occurrence.

  • Eastern Time means Eastern Daylight Time or Eastern Standard Time, whichever is in effect on the relevant date.

  • Central Time means Central Time as adjusted for daylight savings time.

  • Issuer's Call Date means the day as defined in §4(2).

  • Local Time means (i) New York City time in the case of a Loan, Borrowing or LC Disbursement denominated in Dollars and (ii) local time in the case of a Loan, Borrowing or LC Disbursement denominated in a Foreign Currency (it being understood that such local time shall mean London, England time unless otherwise notified by the Administrative Agent).

  • Eastern Prevailing Time means either Eastern Standard Time or Eastern Daylight Savings Time, as in effect from time to time.

For combined cycle units, “Minimum Run Time” shall mean the time period after the first combustion turbine generator breaker closure, which is typically indicated by telemetered or aggregated State Estimator megawatts greater than zero, and the last generator breaker opening as measured by PJM’s State Estimator.

  • Real-time Energy Market means the purchase or sale of energy and payment of Transmission Congestion Charges for quantity deviations from the Day-ahead Energy Market in the Operating Day.

  • New York Business Day means each Monday, Tuesday, Wednesday, Thursday and Friday which is not a day on which banking institutions in New York City are generally authorized or obligated by law or executive order to close.

  • Par Call Date means March 15, 2029.

  • Scan time means the period of time between the beginning and end of x-ray transmission data accumulation for a single scan.

  • Reinstatement Date means the date from which a policy will be reinstated after cancellation.
