Unauthorized Action definition

Unauthorized Action has the meaning set forth in Section 9.1(a) hereof.
Unauthorized Action means an action by Itron, Surviving Corporation or any affiliate thereof with respect to a category of Asserted Patents whereby such Person has, prior to the occurrence of any Action with respect to such category of Asserted Patents and without the consent of the Stockholders' Representative, which consent shall not be unreasonably
Unauthorized Action means an action by Itron, Surviving Corporation or any affiliate thereof with respect to a category of Asserted Patents whereby such Person has, prior to the occurrence of any Action with respect to such category of Asserted Patents and without the prior written consent of the Stockholders' Representative, which consent shall not be unreasonably withheld, either (a) filed a lawsuit relating to such category of Asserted Patents, (b) delivered a letter, the subject matter of which is such category of Asserted Patents, or (c) commenced settlement negotiations relating to, or obtained a settlement with respect to, such category of Asserted Patents; provided, however, that the delivery of one letter responding to each of the letters that the Company has received prior to the date hereof, the forms of which have been approved by Itron and the Company prior to the Closing, to a claimant or its agent by Itron, the Surviving Corporation or any affiliate thereof in response to a Covered Claim regarding such category of Asserted Patents, shall not require the consent of the Stockholders' Representative and shall not be deemed an Unauthorized Action hereunder with respect to such category of Asserted Patents.

  • Unauthorized alien means an alien as defined in Section 1324a(h)(3) of Title 8 of the United States Code.

  • Informed Customer Consent means, in the case where consent is required: (1) the Customer is provided with a clear statement of the data or information to be collected and allowable uses of that data or information by the party seeking consent; (2) the frequency of data or information release and the duration of time for which the consent is valid; and (3) process by which the Customer may revoke consent. In no case shall silence by the Customer ever be construed to mean express or implied consent to a request by the Company, or its Contractors. Customer consent shall be provided directly from the Customer and documented in writing, subject to forms and processes as defined by the Company.

  • Allegation means any written or oral statement or other indication of possible scholarly misconduct made to an institutional official.

  • Infringement Action has the meaning set forth in Section 9.6(b).

  • Outside Activity means any organized or business activity conducted by an Employee outside of MSIM. This includes, but is not limited to, participation on a board of directors, including that of a charitable organization, working part-time outside of MSIM, establishing a holding company for investments, investing in rental properties, or forming a limited partnership.

  • Complaint Investigation means an investigation of any complaint that has been made to a proper authority that is not covered by an abuse investigation.

  • Unauthorized insurer means an insurance institution that has not been granted a certificate of authority by the commissioner to transact the business of insurance in this state."

  • Authorized Third Party means an entity that:

  • Protected Activity means filing a charge, complaint, or report with, or otherwise communicating, cooperating, or participating in any investigation or proceeding that may be conducted by, any federal, state or local government agency or commission, including the Securities and Exchange Commission, the Equal Employment Opportunity Commission, the Occupational Safety and Health Administration, and the National Labor Relations Board (the “Government Agencies”). The Employee understands that in connection with such Protected Activity, the Employee is permitted to disclose documents or other information as permitted by law, and without giving notice to, or receiving authorization from, the Company. Notwithstanding the foregoing, the Employee agrees to take all reasonable precautions to prevent any unauthorized use or disclosure of any information that may constitute Company confidential information to any parties other than the Government Agencies. The Employee further understands that “Protected Activity” does not include the disclosure of any Company attorney-client privileged communications. Any language in any other agreement between the Company and the Employee regarding the Employee’s right to engage in Protected Activity that conflicts with, or is contrary to, this paragraph is superseded by this Agreement. In addition, pursuant to the Defend Trade Secrets Act of 2016, the Employee is notified that an individual will not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that (i) is made in confidence to a federal, state, or local government official (directly or indirectly) or to an attorney solely for the purpose of reporting or investigating a suspected violation of law, or (ii) is made in a complaint or other document filed in a lawsuit or other proceeding, if (and only if) such filing is made under seal. In addition, an individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the individual’s attorney and use the trade secret information in the court proceeding, if the individual files any document containing the trade secret under seal and does not disclose the trade secret, except pursuant to court order.

  • unauthorised transaction means a transaction that is not authorised by a user

  • Current significant investigative information means investigative information that a licensing board, after an inquiry or investigation that includes notification and an opportunity for the audiologist or speech-language pathologist to respond, if required by state law, has reason to believe is not groundless and, if proved true, would indicate more than a minor infraction.

  • Corrective action means action taken to eliminate the cause of a potential or real non- conformity or other undesirable situation;

  • Contractor Sensitive Information means any information provided by the Contractor to the Authority (disregarding any protective marking or assertion of confidentiality) which: is specified as Contractor Sensitive Information in Schedule 7 and has not lost its sensitivity according to the justifications and durations set out in that Schedule; and is exempt information pursuant to sections 33(1) or 36, 38 or 39 of FOISA (having regard for that purpose to the public interest there might be in disclosing such information as referred to in section 2(1)(b) of FOISA).

  • Investigative information means information, records, and documents received or generated by a physical therapy licensing board pursuant to an investigation.

  • Competitive Infringement has the meaning set forth in Section 7.5.1.

  • Specified Action has the meaning set forth in Section 3.4.2.
