  • UCAMA shall use, occupy and carry on all business upon the Lands in compliance with all federal, provincial and municipal legislation and shall at all times obey all orders, directions and requests made by municipal and other public authorities to carry out repairs or effect changes to the Facility in order that the Facility will comply with such legislation.

  • In the event of a dispute between the City and UCAMA regarding such change, the dispute shall be resolved by the General Manager and the Association's Representative within a reasonable time.

  • In the event that the condition precedent as contained in this Section 2.1 is not fulfilled on the date as stated herein and the requirement for the fulfilment of such condition precedent is not waived by UCAMA and the City, then in such case, this Agreement shall be deemed to have been mutually terminated by the City and UCAMA.

  • Should conditions change which make any of the matters described in this Section 7.1 no longer viable, then in that event, the requirements of this Section 7.1 may be amended by mutual written agreement of the City and UCAMA to reflect such change.

  • The City and UCAMA acknowledge that UCAMA’s ability to commence to construct the Facility in the manner contemplated by this Section 6.1 may be affected by UCAMA’s fund raising campaign for the Facility and in acknowledgement of this possibility, the City shall grant to UCAMA such reasonable extensions of time as UCAMA shall reasonably require.

  • Upon such termination, all rights and obligations of the City and UCAMA pursuant to this Agreement shall be at an end without any legal proceedings being taken or other act being performed by the City and the City and UCAMA shall not have any further obligations or liability to the other party, including any claim to damages.

  • UCAMA shall provide the architect's certificate to the City within thirty (30) days of the date that UCAMA shall have substantially completed the Facility.

  • Should any of the budgets submitted in accordance with this Section 5.2 reflect a material adverse change in UCAMA’s ability to complete the capital project set out in the Plans, which raises concerns with the General Manager in that regard, such concerns shall be resolved by the parties and, if necessary, UCAMA shall submit the relevant revised budget.

  • Should the General Manager and the Association's Representative fail to resolve the item in dispute within a reasonable time, then the item in dispute shall be referred to the City’s Executive Committee whose decision shall be final and binding on the City and UCAMA and the dispute resolution provisions contained in Article 12 shall not apply to such dispute.

  • The City shall pay the City Funding to UCAMA in three (3) equal annual payments, each in the sum of one million ($1,000,000) dollars, with the first payment to be made on or before the Commencement Date and thereafter during the Term on the anniversary date of the Commencement Date or earlier at the City’s discretion.
