Ubiquiti Cayman Guaranty means the unconditional guaranty agreement dated as of the date hereof executed by Ubiquiti Cayman in favor of the Administrative Agent, for the ratable benefit of the Secured Parties, which shall be in form and substance satisfactory to the Administrative Agent.
