TRS Documents means collectively, (i) (a) the Assignment and Assumption Agreement dated as of June 29, 2010, by and between Xxxxxxx and Xxxxxxx TRS, (b) the Transfer, Assignment and Assumption Agreement dated as of June 29, 2010, by and between Xxxxxxx and Xxxxxxx TRS, and (c) the Lease Agreement dated as of June 29, 2010, by and between Xxxxxxx and Xxxxxxx TRS, which lease is evidenced by a memorandum of such Lease Agreement recorded as of July 1, 2010, as Instrument No. 20100904690, in the Official Records of the Recorder's Office of Los Angeles, California, and (ii) (a) the Assignment and Assumption Agreement dated as of June 29, 2010, by and between SGS Holdings, LLC, a Delaware limited liability company (“SGS”), and Gower TRS, (b) the Transfer, Assignment and Assumption Agreement dated as of June 29, 2010, by and between SGS and Gower TRS, and (c) the Lease Agreement dated as of June 29, 2010, by and between SGS and Gower TRS, which lease is evidenced by a memorandum of such Lease Agreement recorded on or about the date hereof, in the Official Records of the Recorder's Office of Los Angeles, California, all as assigned to Gower in accordance with the General Assignment, Assignment of Leases and Xxxx of Sale, dated on or about the date hereof.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Acquisition Documents means the Acquisition Agreement and all other agreements and documents relating to the Acquisition, as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.
