Triarc Beverage Group definition

Triarc Beverage Group means, collectively, Snapple, Mistic, Cable Car, Royal Crown and any and all other subsidiaries of Triarc Consumer Products Group, LLC (or any successor thereto) that are primarily engaged in the beverage business or any business related, ancillary or complementary thereto that become parties hereto in accordance with paragraph 13 hereof. Triarc and the Companies desire to enter into this Agreement to set forth the terms and conditions upon which Triarc will continue to provide such services to the Triarc Beverage Group. The parties hereto agree as follows:

  • Expertise and assistance in legal matters, including any reporting obligations of any member of the Triarc Beverage Group under the Securities Exchange Act of 1934, and the services of a Corporate Secretary and such other support staff as Triarc shall reasonably consider to be appropriate and necessary to handle such matters.

  • Employees of Triarc engaged in performing the Services shall under no circumstances be considered to be employees of any member of the Triarc Beverage Group.

  • Upon the creation or acquisition of an entity that becomes a member of the Triarc Beverage Group, such entity shall, if it desires to receive any of the Services provided hereunder, execute a counterpart hereto and shall thereafter be bound by the terms of this Agreement (including, without limitation, the terms of paragraph 6 hereof) as if it were an original signatory hereto.

  • Such other services as the parties may agree are necessary for the efficient and profitable operations of the Triarc Beverage Group.

  • Expertise and assistance in financial presentation and planning and such services as are reasonably necessary for the Triarc Beverage Group to comply with its financial reporting obligations to third parties, including report preparation, compliance with generally accepted accounting principles, footnote disclosure, compilation and review.

  • Triarc shall provide to the Triarc Beverage Group during the Term the services listed in this Agreement and such other management services as the Triarc Beverage Group may reasonably request (collectively, the "Services").

Related to Triarc Beverage Group

  • Minority Group means any of the following racial or ethnic groups:

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians. Only businesses certified by the State of Ohio Equal Opportunity Division in accordance with Section 123.151 of the Ohio Revised Code shall be recognized as being MBE certified within the purpose of this invitation.

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • minority business enterprise means any small contractor or supplier of materials fifty-one percent or more of the capital stock, if any, or assets of which is owned by a person or persons: (1) who are active in the daily affairs of the enterprise, (2) who have the power to direct the management and policies of the enterprise, and (3) who are members of a minority, as such term is defined in subsection (a) of Connecticut General Statutes § 32-9n; and

  • Minority Owned Business Enterprise or "MBE" means a firm awarded certification as a minority owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a minority owned and controlled business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • Women Owned Business Enterprise or "WBE" means a firm awarded certification as a women owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a women owned business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Beverage means a liquid for drinking, including water.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Portfolio Company means the issuer or obligor under any Portfolio Investment held by any Obligor.
