In the event either C-3 or C-4 becomes a Satellite Failure, or in the event more than one transponder on C-3 or C-4 becomes a Transponder Failure under circumstances which prevent all such Failed Transponders from being restored, Protection Transponders shall be assigned in accordance with Article ▇.▇.
If there is a Transponder Failure, owing to (i) a fault not attributable to the CUSTOMER, DOS shall use its reasonable endeavors to restore (which may or may not involve the activation of TWTA per Article 4 above) or substitute the Capacity as soon as reasonably practicable.
Any Transponder restoration shall be effected by SES Americom as soon as technically feasible but in any event in not more than one (1) hour after a Transponder is a Transponder Failure (provided that such one-hour obligation shall not commence until Customer has vacated use of the Transponder) and any Protection Transponder provided to Customer shall be deemed a Transponder Protected Transponder.
If no Replacement Transponder is available, GE Americom shall restore the Transponder Failure by using an unassigned or Preemptible Transponder on that Satellite, if available.
The transponder assignment will be changed only if the assigned Transponder becomes a Transponder Failure or to prevent interference by or to Client's operations.

Transponder Failure means, with respect to any Transponder used by ▇▇▇▇▇ under this Agreement, any of the following events:

Transponder Failure means, with respect to any Service Transponder, that such Transponder fails to meet the Transponder Performance Specifications in any material respect (i) for any period of five (5) consecutive Days; (ii) on twenty (20) or more occasions of fifteen (15) minutes or more during any ninety (90) consecutive Days; or (iii) for any period of time under circumstances that make it clearly ascertainable or predictable, based on satellite industry engineering standards, that a failure set forth in clauses (i) or (ii) will occur. For purpose of this definition, measurement of periods of failure shall commence when Customer has vacated its signal to permit verification of the failure by SES.

Transponder Failure means that the transponder permanently (including permanently intermittently) fails to operate in accordance with the Satellite Performance Specifications or will fail to operate in accordance with the Satellite Performance Specifications throughout all periods including eclipse, loss of on-board propellant or available power resulting in the reduction in the Remaining Mission Life.

Transponder Failure means, at any time after Launch, the permanent failure (including permanently intermittent failure) of a Transponder to meet the requirements of the SATMEX 8 Satellite Performance Specification, provided that, (i) the Transponder cannot be used for its intended communications purposes or (ii) consistent with telemetry data, IOT or other evidence which manifests itself after Launch, the Transponder is expected to fail to be usable for its intended communications purposes before the end of the SATMEX 8 Satellite Stated Life and in which event it shall be a Failed Transponder from and after the time it becomes such a failure. Within sixty (60) days following the Effective Failure Date, all available redundant and/or spare components on the SATMEX 8 Satellite applicable to the Transponder must be used or cease to be available and all reasonable technical alternatives for correcting the failure must be examined before a Transponder is considered to be a Failed Transponder. In the event that after all reasonable technical alternatives for correcting the failure have been performed, but nevertheless the failure still continues from and after sixty (60) days following the Effective Failure Date, the Transponder shall be declared as a “Failed Transponder” retroactive to the Effective Failure Date. For purposes of this definition, without limitation as to other circumstances of permanent intermittent failure that also may qualify as a “permanent failure” for purposes hereof, a Transponder “permanent intermittent failure” that qualifies for treatment as a “permanent failure” for purposes hereof, will be deemed to have occurred from and after such time as such Transponder has been a Non-Operational Transponder for three (3) separate thirty (30) consecutive day periods.

Transponder Failure means, with respect to any Transponder, such Transponder fails to provide Capacity (or part thereof) that meets the technical specifications as per Exhibit A in any material respect for any period of three (3) consecutive days. For purposes of this definition, measurement of periods of failure shall commence when the signal has been vacated to permit verification of the existence of the failure by DOS/Singtel.
