Transferred Equipment definition

Transferred Equipment means fixtures, machinery, telecommunications, manufacturing and other equipment and other interests in tangible personal property owned by Seller or a Seller Subsidiary and that is used or held for use exclusively in the conduct of the Business (including the items listed on Section 1.01(xiii) of the Seller Disclosure Schedule), excluding in all cases any Intellectual Property Rights covering, embodied in or connected to any of the foregoing.

Transferred Equipment shall have the meaning set forth in Section 2.2(a)(ix).

Transferred Equipment means all equipment, machinery, tools and other tangible personal property set forth on Schedule 2.1 hereto.

Examples of Transferred Equipment in a sentence

• In case the Transferred Equipment is used by other parties than the Tie-in Party, such cost and expense shall be shared between the users.

More Definitions of Transferred Equipment

Transferred Equipment means the equipment listed on Schedule 1.01(f).
