On or prior to the funding of the Tranche I Advance, Parent, Mesoblast UK, Mesoblast Intl UK, Mesoblast SUI and each other Loan Party that is organized outside of the United States shall appoint C T Corporation System, located at 000 Xxxxxx Xxxxxx, Xxx Xxxx, XX 00000, or other agent reasonably acceptable to Agent, as its agent for the purpose of receiving and forwarding service of any process in the United States.
