On any day on which the Aggregate Tranche B Term Loan Exposure (after giving effect to all other repayments thereof on such date) exceeds the Total Tranche B Term Loan Commitment at such time the Borrower shall repay on such date the principal of Tranche B Term Loans in an amount equal to such excess.
Company shall have paid to Administrative Agent, for distribution to each Lender that executes and delivers a counterpart of this Amendment to Administrative Agent at or prior to 5:00 P.M. (New York time) on November 14, 1997, an amendment fee in an amount equal to the sum of (i) 1.00% multiplied by the Tranche B Term Loan Exposure of such Lender plus (ii) 0.25% multiplied by the Revolving Loan Exposure of such Lender.

The Tranche B Term Loan Upfront Fee may, at the election of the Lenders of the Tranche B Term Loan on the Closing Date representing more than 50.0% of the aggregate Tranche B Term Loan Exposure of all Lenders (other than Defaulting Lenders), take the form of original issue discount.
This Amendment (other than the provisions of Section 1 hereof, the effectiveness of which is governed by Section 2 hereof) shall become effective upon the execution of a counterpart hereof by Company, by Requisite Lenders and by Requisite Class Lenders of Lenders having Tranche B Term Loan Exposure and upon receipt by Company and Administrative Agent of written or telephonic notification of such execution and authorization of delivery thereof.
