Tranche B Term Loan Committed Amount definition

Tranche B Term Loan Committed Amount shall have the meaning set forth in Section 2.2(a).

Tranche B Term Loan Committed Amount shall have the meaning assigned to such term in Section 2.5(a).

Tranche B Term Loan Committed Amount means, for each Tranche B Term Lender, the amount of such Lender’s Tranche B Term Loan Commitment. The initial Tranche B Term Loan Committed Amounts are set forth on Schedule 2.01, and, with respect to any Incremental Tranche B Term Loan, the Tranche B Term Loan Committed Amount with respect thereto will be set forth in the Incremental Tranche B Term Loan Joinder Agreement.

Examples of Tranche B Term Loan Committed Amount in a sentence

• Each Term Loan Note issued with respect to Term Loans provided under the initial Term Loan Commitment shall be dated the Closing Date and each Term Loan Note issued with respect to Term Loans provided under the New Tranche B Term Loan Committed Amount shall be dated the Third Amendment Effective Date.

• The Tranche B Term Loans made by the Supplemental Credit Lenders having a Tranche B Term Loan Commitment Percentage shall be evidenced by a duly executed promissory note of the Borrower to each such Supplemental Credit Lender in the face amount of its Tranche B Term Loan Commitment Percentage of the Tranche B Term Loan Committed Amount in substantially the form of Exhibit 2.4(b).

• Subject to the terms and conditions hereof and in reliance upon the representations and warranties set forth herein, each Lender severally agrees to make available to the Borrower on the Closing Date such Lender's Tranche B Term Loan Percentage of a term loan in Dollars (the "Tranche B Term Loan") in the aggregate principal amount of ONE HUNDRED FIFTY MILLION DOLLARS ($150,000,000) (the "Tranche B Term Loan Committed Amount").

• Subject to the terms and conditions hereof and in reliance upon the representations and warranties set forth herein, each Lender severally agrees to make available to the Borrower on the Closing Date such Lender's Tranche B Term Loan Percentage of a term loan in Dollars (the "Tranche B Term Loan") in the aggregate principal amount of ONE HUNDRED SEVENTY-FIVE MILLION DOLLARS ($175,000,000) (the "Tranche B Term Loan Committed Amount").

• The Tranche B Term Loan made by each Lender shall be evidenced by a duly executed promissory note of the Borrower to each applicable Lender in the face amount of its Tranche B Term Loan Commitment Percentage of the Tranche B Term Loan Committed Amount in substantially the form of Exhibit 2.4(e).

Tranche B Term Loan Committed Amount means NINETY-FIVE MILLION DOLLARS ($95,000,000).

"Tranche B Term Loan Commitment Percentage" means, for a Supplemental Credit Lender, the percentage identified as its Tranche B Term Loan Commitment Percentage on Schedule 1.1(a) of the Supplemental Credit Agreement, as such percentage may be modified in connection with any assignment made in accordance with the provisions of Section 11.3 of the Supplemental Credit Agreement. "Tranche B Term Loan Note" or "Tranche B Term Loan Notes" means the promissory notes of the Borrower in favor of the Supplemental Credit Lenders having a Tranche B Term Loan Commitment Percentage evidencing the Tranche B Term Loans provided pursuant to Section 2.1 of the Supplemental Credit Agreement, individually or collectively, as appropriate, as such promissory notes may be amended, modified, supplemented, extended, renewed or replaced from time to time as evidenced in the form of Exhibit 2.4(b) of the Supplemental Credit Agreement.

Tranche B Term Loan Committed Amount means ONE HUNDRED FIFTY MILLION DOLLARS ($150,000,000) less the amount of Holdings Debentures not tendered on the Tranche B Term Loan Funding Date; provided that the Tranche B Term Loan Committed Amount may be increased subsequent to the Closing Date in accordance with the terms of Section 2.4(d).

Tranche B Term Loan Committed Amount means the Initial Tranche B Term Loan Committed Amount and/or the New Tranche B Term Loan Committed Amount, as appropriate.
