Trade Escrow Amount definition

Trade Escrow Amount means the amount, up to Six Million Dollars ($6,000,000), determined by the Sellers and the Purchaser prior to the Closing that shall be sufficient to pay financial obligations (including Taxes and fines) that may be owed in connection with those matters described in Schedule 4.11.14, 4.19.1, and the corrective actions described in Schedule 7.1.7.

  • Tax and Insurance Escrow Fund shall have the meaning set forth in Section 7.2 hereof.

  • Escrow Account The Eligible Account or Accounts established and maintained pursuant to Section 3.09(b).
