TPG Member definition

TPG Member means, collectively, TPG VII Manta Holdings II, L.P., a Delaware limited partnership, and TPG VII Manta AIV Co-Invest, L.P., a Delaware limited partnership.
TPG Member means, collectively, TPG, and any transferee of any of their Units in a Transfer permitted hereunder. “Transaction Agreements” shall have the meaning set forth in the Recitals.
TPG Member has the meaning set forth in the Preamble.

  • Neither the Company nor any of its Subsidiaries shall contribute or otherwise Transfer any assets that constitute Property of such Transferor entity to a domestic or foreign entity treated as a corporation for U.S. federal income tax purposes, without the consent of each of the TPG Member and Intel Member, except that (a) the Company and its Subsidiaries through which the Company owns equity in McAfee HoldCo Corp.

  • The authorized officer or representative shall, on request, provide the Managing Member, the TPG Member, the Intel Member and the TB Member with copies of each such document as filed and recorded.

  • Such ad hoc or special committees established by the Chairman shall include at least one Rice Member and at least one TPG Member, with the number of Rice Members and TPG Members always equal in number.

  • For the avoidance of doubt, distributions made under this Section 5.03(f) may not be used to pay or facilitate dividends or distributions on the common stock of PubCo or pursuant to the Tax Receivable Agreement without the consent of each of the TPG Member and the Intel Member and must be used solely for the express purposes set forth under the immediately preceding sentence.

  • A voting Member (other than a Rice Member, a NMSU Member or a TPG Member) may serve no more than two consecutive terms without approval from the Board of Trustees.

  • Founding Member means any individual who is either:

  • Managing Member is defined in the recitals to this Agreement.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Staff member means a staff member as defined in section 1(1) of the Public Service Act, 1995 (Act No. 13 of 1995);

  • New member means a person first employed on or after Septem- ber 1, 2005, including a former member who withdrew retirement contributions under Government Code 822.003 and is reemployed on or after September 1, 2005.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Other Member means a Voting Member who is not an Eligible Account Holder or a Supplemental Eligible Account Holder.

  • Contributing Member shall have the meaning set forth in Section 3.2(b).

  • Trading Member means a Person who has been approved by Nadex to trade directly and not through a FCM Member on the Market, and does not include any FCM Member.

  • Presiding Member means the presiding member of a committee or the deputy presiding member, or a member of the committee when performing a function of the presiding member in accordance with the Act;

  • Selling Member has the meaning set forth in Section 10.5(a).

  • Lead Member shall, in the case of a joint venture, mean the member of such joint venture who shall have the authority to bind the contractor and each member of the Joint venture; and shall be deemed to be the Contractor for the purposes of this Agreement; the Lead Member shall itself undertake and perform at least 51% (fifty one per cent) of the total length of the Project Highway;

  • Initial Member has the meaning set forth in the introductory paragraph.
