Total Vested Award definition

Total Vested Award means the sum of (i) the Non-GAAP EPS Vested Award plus (ii) the TSR Vested Award.
Total Vested Award means the product of (i) the Total Target Award multiplied by (ii) the TSR Vesting Percentage.
Total Vested Award means the sum of (i) the Cost Savings Vested Award plus (ii) the TSR Vested Award.

  • The remaining fifty percent (50%) of the Total Vested Award shall become vested as of December 31, 2019 (the “Second Vesting Date” and together with the First Vesting Date, the “Vesting Dates”), subject to Holder’s continued employment with the Company or any Subsidiary through such date.

  • Subject to Section 2.1(b) below, as soon as reasonably practicable following the completion of the TSR Performance Period, the Compensation Committee shall determine the Relative TSR Percentile Rank, the TSR Vesting Percentage, the TSR Vested Award, and the Total Vested Award in each case, as of the last day of the TSR Performance Period (the “First Vesting Date”) and fifty percent (50%) of the Total Vested Award shall thereupon become vested as of such First Vesting Date.

Related to Total Vested Award

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Date of Award means the date this Contract is fully executed.

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Award Period means the period beginning on an Award Date and ending on the expiration date of such Award.

  • Award Cycle means a period of consecutive fiscal years or portions thereof designated by the Committee over which Performance Units are to be earned.

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Performance Date means December 31, 2025. If the Locality, in consultation with VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, on or before the Performance Date the Locality may request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Company and the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

  • Prior Plan Award means an award outstanding under the Prior Plan as of the Effective Date.

  • SAR Value means the excess of the Fair Market Value (on the exercise date) over the exercise price that the participant would have otherwise had to pay to exercise the related Stock Option, multiplied by the number of shares for which the Stock Appreciation Right is exercised.

  • Parent Award means the Electrical Electronic and Communication Contracting Industry (State) Award.

  • Phantom Share means a right, pursuant to the Plan, of the Grantee to payment of the Phantom Share Value.

  • Phantom Stock Award means an Award granted under Paragraph X of the Plan.

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Grant Amount or “Grant” means the total amount of financial assistance disbursed under this Agreement, which consists of the City's Amount and the Consultant’s Amount.

  • Deferred Share Unit or “DSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 7;
