Token License definition

Token License means a licensing methodology where Customer’s usage of Software on a computer networked to a licensed server is determined by the number of unused Tokens available to Customer. Customer will be permitted to use an instance of Software on a computer networked to a licensed server if Customer has a sufficient number of unused Tokens (with the requisite Token amount for such Software set forth in the Transaction Document). When a Customer uses an instance of Software, the Tokens required for such use will be deemed used and unavailable for further usage until Customer exits such instance of Software. Once Customer exits such instance of Software, the previously used Tokens will be deemed available again for further use. A Token License may permit Customer to use multiple Software offerings (or multiple Software instances) concurrently if Customer has sufficient Tokens. All Token Licenses will require Customer to obtain a License File for the licensed server and to install such License File on the designated licensed server, which licensed server will only permit Customer’s computers connected to such server to access the Software in accordance with the Token License requirements and in accordance with any other requirements or restrictions set forth in the Transaction Document. For illustrative purposes, if Customer purchased seventy (70) Tokens and Software A requires twenty (20) Tokens per instance, Software B requires fifty (50) Tokens per instance, and Software C requires seventy (70) Tokens per instance, then Customer could (a) use three (3) concurrent instances of Software A (and sixty (60) Tokens would be deemed used with ten (10) Tokens still available for use), (b) use one (1) instance of Software A and one (1) instance of Software B (and seventy (70) Tokens would be deemed used with zero (0) Tokens still available for use), or (c) use one (1) instance of Software C (and seventy (70) Tokens would be deemed used with zero (0) Tokens still available for use).
