Time-Share Projects definition

Time-Share Projects the part of the Resorts described in Exhibit F and such other part of the Resorts as Lender may from time to time hereafter approve in writing.
Time-Share Projects. Club Xxxxxx Resort at Los Cabos, Club Xxxxxx Resort at Puerto Vallarta, Club Xxxxxx Resort at Cancun and Xxxxx Xxxx Hotel and Racquet Club.

Examples of Time-Share Projects in a sentence

  • Lender has received evidence satisfactory to it that the Time-Share Projects are affiliated with either Resort Condominium International or Interval International and are in good standing with such exchange companies.

  • On or before the tenth (10th) day after the end of each month, Borrower will cause to be furnished to Lender a sales report showing the following information prepared with respect to each Time-Share Project and on a consolidated basis as to all Time-Share Projects: the number of tours, the number of sales and closings of Time-Share Interests and the aggregate dollar amount thereof, including average sales price and down payments, during such month.

  • Notwithstanding any prohibition of Time-Share Projects, if a Resort Unit (exclusive of the Minimum Hotel Keys) is owned or operated by a party for residential use where use of the premises is allocated amongst the members of such party, such use is allowed, provided that the members of such party shall not have a right to a specified period of use of a specific Resort Unit on a specific annual or other periodic basis.

  • Borrower or Borrower's Affiliates have complied with all Legal Requirements in all material respects, including, without limitation, all Legal Requirements of the states in which the Time-Share Projects are located and all other governmental jurisdictions in which the Time-Share Projects are located or in which Time-Share Interests will be sold or offered for sale.

  • Lender shall have received and approved a current unsold inventory report prepared by Arthur Anderson or another thirx xxxxy xxxxxxxxle to Lender at Borrower's expense showing the then amount of unsold Time-Share Interests at each of the Time-Share Projects.

  • Borrower and the Required Guarantors have filed all tax returns and have paid all Impositions, if any, required to be filed by it or paid by it as of the making of this representation and warranty, including real estate taxes and assessments relating to the Time-Share Projects or the Collateral.

  • Lender shall have received and approved all marketing agreements pertinent to the Time-Share Projects (which shall be collaterally assigned to Lender pursuant to the Time-Share Marketing Agreement Assignment) and which agreements shall be terminable at Lender's option upon an Event of Default.

  • Notwithstanding the foregoing, the Voting Power for any Lot or Condominium thathas been converted by, or with the approval of Declarant or the Board upon the approval of the Owners in the Special Benefit Area to be converted, into one or more Time-Share Projects shall be allocated to the Owners within any such Time-Share Project in accordance with the provisions of the Article entitled "Time-Share Project" of this Declaration.

Related to Time-Share Projects

  • Cogeneration unit means a unit that is able to operate in cogeneration mode;

  • Production Unit means a facility for generation of electricity made up of a single generation unit or of an aggregation of generation units;

  • The Project means supply, installation, testing and commissioning, integration of computer hardware and services with support under Warranty and annual maintenance contract, if required for the contract period.

  • Project Buyer means the City’s employee assigned to serve as the contact person for Bidders/Sellers responding to Invitations For Bid or completing contracts herein.

  • Generation Unit means a facility that converts a fuel or an energy resource into electrical energy.

  • Infrastructure project means any construction or acquisition of treatment works,

  • Solar PV Project means the solar Photo Voltaic Power project that uses sunlight for direct conversion into electricity through Photo Voltaic technology.

  • Carbon regeneration unit means any enclosed thermal treatment device used to regenerate spent activated carbon.

  • Sub-project means a specific development project to be carried out by a Beneficiary utilizing the proceeds of a Sub-loan;

  • Project Coordination Unit or “PCU” means the unit referred to in Section II (2) of Schedule 4 to this Agreement;

  • Drilling unit means the area fixed for the drilling of one well by order or rule of any state or federal body having authority. If a Drilling Unit is not fixed by any such rule or order, a Drilling Unit shall be the drilling unit as established by the pattern of drilling in the Contract Area unless fixed by express agreement of the Drilling Parties.

  • Project Assets means all physical and other assets relating to and forming part of the Site including:

  • Projects means the projects identified in Exhibit A to the Agreement and all other projects, any costs of which are included in a Transitional Capital Plan pursuant to the Act or are Recovery Costs, and financed, by payment or reimbursement, with the proceeds of Bonds or Notes.

  • The Project Site, where applicable, means the place or places named in the SCC.

  • Project Management Unit or “PMU” means the Recipient’s management and Implementation unit referred to in Section I.A.2 of Schedule 2 to this Agreement.

  • Pre-Construction Phase Services means the participation, documentation and execution of Contractor’s Pre-Construction Phase deliverables as required by this Agreement and further defined in Article 5.

  • Clean coal technology demonstration project means a project using funds appropriated under the heading “Department of Energy—Clean Coal Technology,” up to a total amount of $2,500,000,000 for commercial demonstration of clean coal technology, or similar projects funded through appropriations for the Environmental Protection Agency. The federal contribution for a qualifying project shall be at least 20 percent of the total cost of the demonstration project.

  • Diversion unit means any probation counselor who enters into

  • Planned unit development means a subdivision characterized by a unified site design, clustered residential units and/or commercial units, and areas of common open space.

  • The Contract Price/ Project Cost means the price payable to the Vendor under the Contract for the full and proper performance of its contractual obligations.

  • New Project means (a) each facility or operating location which is either a new facility, location or office or an expansion, relocation, remodeling or substantial modernization of an existing facility, location or office owned by the Borrower or its Subsidiaries which in fact commences operations and (b) each creation (in one or a series of related transactions) of a business unit to the extent such business unit commences operations or each expansion (in one or a series of related transactions) of business into a new market.

  • Phase 1 means the first implementation phase of this section, beginning June 1, 2018 and ending May 31, 2022.

  • Biofuel means liquid or gaseous fuel for transport produced from biomass;

  • Generation Interconnection Feasibility Study means a study conducted by the Transmission Provider (in coordination with the affected Transmission Owner(s)) in accordance with Tariff, Part IV, section 36.2.

  • Heat unit means a unit of energy equal to the product of the peak kilovoltage, milliamperes, and seconds, i.e., kVp x mA x second.

  • Construction Phase Services means the coordination, implementation and execution of the Work required by this Agreement, which are further defined in Article 8.
