Time of Exercise definition

Time of Exercise means the time that surrender of the Warrant Certificate, the Warrant Exercise Form (attached hereto as part of Schedule “A”) and payment of the Exercise Price is effected by a Warrantholder according to the provisions of Section 3.1 hereof;
Time of Exercise means the time that surrender of the Warrant Certificate, the completion of the Warrant exercise form and payment of the Subscription Price is effected by a Warrantholder according to the provisions of section 3.03 hereof;
Time of Exercise means, in respect of any Special Warrant, the time of exercise thereof in accordance herewith;

  • Round-off of Fraction of Less Than One Share That Occurs at the Time of Exercise of Share Options In cases where the number of the shares to be delivered to the holder of share options who has exercised his/her share options includes a fraction of less than one share, such fraction shall be rounded off.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Date of Exercise means the date on which the Company shall have received (i) this Warrant (or any New Warrant, as applicable), with the Form of Election to Purchase attached hereto (or attached to such New Warrant) appropriately completed and duly signed, and (ii) payment of the Exercise Price for the number of Warrant Shares so indicated by the holder hereof to be purchased.

  • Warrant Exercise Price means $0.04 per share.

  • Initial Warrant Exercise Date means __________, 1997.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Option Exercise Period has the meaning set forth in Section 5.3(c).

  • Make-Whole Exercise Solely for purposes of this Section 6.2, the “Redemption Fair Market Value” shall mean the volume weighted average price of the Ordinary Shares for the ten (10) trading days immediately following the date on which notice of redemption pursuant to this Section 6.2 is sent to the Registered Holders. The share prices set forth in the column headings of the table above shall be adjusted as of any date on which the number of shares issuable upon exercise of a Warrant or the Warrant Price is adjusted pursuant to Section 4 hereof. In the event of a Warrant Price adjustment pursuant to Section 4.3, the adjusted share prices in the column headings shall equal the share prices immediately such adjustment, multiplied by a fraction, the numerator of which is the Warrant Price after such adjustment and the denominator of which is the Warrant Price immediately after such adjustment. In such an event, the number of shares in the table above shall be adjusted by multiplying such share amounts by a fraction, the numerator of which is the number of shares deliverable upon exercise of a Warrant immediately prior to such adjustment and the denominator of which is the number of shares deliverable upon exercise of a Warrant as so adjusted. If the Warrant Price is adjusted pursuant to Section 4.4, the adjusted share prices set forth in the column headings of the table above shall be multiplied by a fraction, the numerator of which is the higher of the Market Value and the Newly Issued Price and the denominator of which is $10.00. In no event will the number of shares issued in connection with a Make-Whole Exercise exceed 0.361 Ordinary Shares per Warrant (subject to adjustment).

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date.

  • Exercise Time means 5.00 p.m. (local time in Frankfurt am Main, Germany);

  • Option Exercise Date has the meaning specified in Section 2.1.

  • Sponsor Exercise Fair Market Value means the average last reported sale price of the Ordinary Shares for the ten (10) trading days ending on the third (3rd) trading day prior to the date on which notice of exercise of the Private Placement Warrant is sent to the Warrant Agent;

  • Exercise Price Per Share hereinafter “Exercise Price” means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Warrant Share means a Common Share issuable upon exercise of one Warrant;

  • Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.

  • Initial Exercise Date shall have the meaning ascribed to such term in the Preamble.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).
