Tier 3 Participant definition

Tier 3 Participant means each Participant designated in Schedule I hereto as a Tier 3 Participant, as that schedule may be amended in accordance with Section 2.01.

Tier 3 Participant means each other employee of the Company or an Affiliated Entity who is designated by the Committee in writing as a Participant.

Tier 3 Participant means each Participant designated in writing by the Board or the Compensation and Human Capital Committee as a Tier 3 Participant, as that designation may be amended in accordance with Section 2.01.

Examples of Tier 3 Participant in a sentence

• You shall be entitled to receive a severance payment equal to 12 months (if you are a Tier 1 Participant or a Tier 2 Participant) or six months (if you are a Tier 3 Participant) of your annual base salary at the rate in effect immediately prior to the Termination Date, payable in a cash lump sum, less applicable withholdings, on the first payroll date following the date the Release of Claims becomes effective and irrevocable.

• You shall be entitled to receive a severance payment equal to 12 months (if you are a Tier 1 Participant), nine months (if you are a Tier 2 Participant) or six months (if you are a Tier 3 Participant) of your annual base salary at the rate in effect immediately prior to the Termination Date, less applicable withholdings, payable in a single cash lump sum on the first payroll date following the date the Release of Claims becomes effective and irrevocable.

More Definitions of Tier 3 Participant

Tier 3 Participant means each of the Tier 3 Participants who may be set forth on Exhibit A-2 to this Plan from time to time. For purposes of this definition, if an employee is designated a Tier 3 Participant on Exhibit A-2 immediately prior to a Change in Control, such employee shall be eligible for benefits as such under this Plan.

Tier 3 Participant means a Participant who has been designated by the Committee as a Tier 3 Participant in accordance with Section 3.2 below.

Tier 3 Participant means each individual who is designated by the Company’s Chief Executive Officer on or after the date hereof as a Tier 3 Participant.

Tier 3 Participant means each Participant who is an Other Key Employee.

Tier 3 Participant means any employee who holds the title of Senior Vice President but is not a member of the Company’s Executive Leadership Team and any other Eligible Employee, in each case, whom the Committee has designated as a Tier 3 Participant pursuant to Section 2.01 of this Plan.

Tier 3 Participant means, subject to Section 3.03, those individuals approved as such by the Board or the Committee pursuant to Section 3.01. As of the Effective Date, there are no Tier 3 Participants.

Tier 3 Participant means any designated Employees of the Company serving in the position of a senior officer and listed on Appendix C, subject to the determination and designation by the Committee.
